ARTICLE II
OFFICERS &
DUTIES
SECTION 1. The officers of the Association shall
be a President, a Vice President for each Grand Lodge
District in the Association, a Secretary, a Treasurer, a
Sergeant-at-Arms, a Chaplain, a Tiler, an Inner-Guard
and a Board of Trustees. The Board of Trustees shall be
composed of two members from each Grand Lodge District,
elected as hereinafter provided, and the immediate Past
President of the Association. The President of the
Association shall serve as an “ex-officio” member of the
Board but shall not be entitled to a vote except in the
case of a tie vote. No Lodge shall have more than one
elected Trustee. All officers shall serve for a term of
one year, except elected members of the board of
Trustees who shall serve two years, however, no member
of the Board of Trustees shall be elected to serve more
than two consecutive terms to that office. No member of
the Association shall hold two offices concurrently. All
officers are expected to attend all Conference and
Convention Meetings, or any Special Meeting called by
the Board of Trustees. Any officer who is absent without
good cause from two consecutive meetings at which
his/her attendance is required may be removed from
office by a majority vote of the Association
Delegates.
SECTION 2. PRESIDENT - The President
shall be the Chief Executive Officer of the Association.
He/she shall preside at all meetings, decide all
questions of order, subject of appeal of the members of
the Association, appoint, with the advice and consent of
the Advisory Committee, all committees not otherwise
provided for, fill all vacancies unless otherwise
provided for, and perform such other duties as my be
required of him/her by action of the Association and
such as are customarily performed by the Chief Executive
Officer of a Corporation. (4/00) It shall be the duty of
the President to attend all meetings and to make at
least three visits to different Lodges in each Grand
Lodge District. These visits shall be rotated from one
President to another so that over a period, all Lodges
will be visited by a President of the Association. It
shall also be mandatory that the President attend the
Grand Lodge Convention in July. The President shall
appoint the Sergeant-at-Arms, the Chaplain, the Tiler,
and the Inner Guard who shall serve at his/her pleasure.
The President shall make a report at the first session
of the Annual Convention of his/her activities and of
the work of the Association under his/her
administration.
(a) PRESIDENT-ELECT - The
President-Elect is an Officer of the Association. He/she
may attend meetings of the Association, its Officers,
Board of Trustees, the Board of Governors of Elks Camp
Barrett, and others, primarily to prepare
himself/herself for the office of President the
following year. (1/95)
SECTION 3. VICE PRESIDENTS
- The Vice Presidents shall assist the President in the
performance of his/her duties and in the absence of the
President, or at his/her request, shall preside at the
meeting of the Association in accordance with their
seniority. It shall be the duty of each Vice President
to promote and carry the Association program to each of
his/her Lodges in his/her District, and to hold such
District Meetings as he/she may deem advisable for the
best interest of the District, the State Association,
and the Order. He/she shall preside at any District
Meetings, have a record of the proceedings kept, and
report thereon to the State Association. It shall also
be the duty of the Vice President to make an official
visit to each of the Lodges in his/her District not
being visited that year by the President. The Vice
Presidents shall report to the President at least 30
days before the Annual Convention, upon the work they
have done during the year.
SECTION 4. SECRETARY -
The Secretary shall attend all meetings of the
Association, keep a true record of the proceedings,
preserve all books and documents, excluding those
maintained, and in current use, by the treasurer;
receive all dues paid by the member Lodges, and all
monies from all committee chairs and promptly pay the
same over to the Treasurer, and perform such other
duties as are properly required of him/her. He/she
shall, before assuming his/her duties of his/her office,
execute and deliver to the Board of Trustees, a faithful
performance bond, with Corporate surety, in such amount
as the Trustees shall require, the expense for such bond
to be paid by the Association. The Secretary shall
submit a report of his/her office at each meeting and at
the Annual Convention. (6/90)
SECTION 5.
TREASURER - The Treasurer shall attend all meetings of
the Association:
- Receive all monies for the Association from the
Secretary, giving him/her a receipt therefore.
- Pay all bills against the Association, only upon
proper warrant signed by the Secretary, and duly
approved by the Chairperson of the Board of Trustees,
or in the incapacity of either by a Vice President or
the Secretary of the Board of Trustees who will be
designated by the President.
- Pay all bills against Elks Camp Barrett upon
receipt of vouchers properly certified by the
Chairperson, Vice-Chairperson or designee of the Elks
Camp Barrett Executive Board Committee. (6/99)
- Before assuming the duties of his/her office,
he/she shall execute and deliver to the Board of
Trustees, a faithful performance bond, with Corporate
surety, in such amount as the Trustees shall require,
the expense of the bond to be paid by the Association.
- Act as Treasurer for all committees.
- Maintain an accurate record of all receipts and
disbursements and maintain and preserve a General
Journal, Ledger, all checkbooks, savings account
records, canceled checks, bank statements and all
other related financial documents (6/92)
- Shall be responsible for the submission of written
financial reports stating the financial status of the
Association’s general operating, reserve, and
investment accounts at each workshop and general
meeting. In addition shall be responsible for the
submission of monthly financial statements comparing
actual income and expenses by accounts listed in the
operating budgets of both the Association and Camp
operating budgets and the balance of each reserve or
investment account. Such reports shall be submitted
monthly to the Association President and the
Chairperson of the Board of Trustees ten (10) days
after the close of the month. (1/97)
SECTION
6. SERGEANT-AT-ARMS - The Sergeant-at-arms shall execute
the orders of the President, assist in preserving order,
act as marshal on public occasions and perform such
duties as are properly required of
him/her.
SECTION 7. CHAPLAIN - The Chaplain shall
attend all meetings of the Association and perform such
duties as are customary to be performed by such
officer.
SECTION 8. TILER - The Tiler shall
attend all meetings of the Association, shall have
charge of the doors of the hall in which the meetings
are held, and perform the duties usually incidental to
the office of Tiler.
SECTION 9. INNER-GUARD - The
Inner-Guard shall attend all meetings and perform such
duties as are customary to be performed by such
officer.
SECTION 10. TRUSTEES - Immediately
following the Annual Election, the Trustees shall
organize as a Board of Trustees by electing a
Chairperson and a Secretary. A quorum of the Board of
Trustees shall consist of not less than seven members.
The Trustees, during the interim between meetings of the
Association members, shall take general charge of its
property and the direction of its affairs. During such
interim, it shall be the governing body of the
Association and shall take such action as may be
necessary to protect its interests and promote its
objectives. It shall have control of the finances of the
Association and shall recommend ways and means of
raising funds to defray the expenses of the Association.
It shall prepare and submit at the April Meeting, a
budget for the ensuing year. The Lodge entertaining the
Association at its Regional or Convention, must submit
its program of entertainment to the Board of Trustees
for approval, and the Board of Trustees shall have the
power to limit the amount of money to be spent by such
Lodge for entertainment. The Board of Trustees shall
have full charge and control of each Meeting held by the
Association and shall make rules and regulations for the
conduct of all such Meetings and the members of the
Order attending same. The Chairperson of the Board of
Trustees, or in his/her incapacity, the Secretary of the
Board of Trustees, shall Approve all warrants drawn by
the Secretary within the structure of the Budget adopted
by the Association for the related fiscal year. All
completed warrants shall be subject to final
ratification by the Board of Trustees at its next
regularly scheduled meeting following
disbursement.
The proposed budget for the ensuing
year shall be approved by the Association Delegates at
the April Meeting, by a majority vote, before it becomes
officially adopted. Amendments thereto may be made from
the floor, when under consideration. After final
approval, no expenditure not therein authorized may be
made during the current year, unless considered by the
Board of Trustees to be of an emergency nature, and
uncommitted funds are on hand and currently available.
All and any funds of the Association, in excess of the
budgeted requirements, shall be retained by the
Association for future use in funding its operation as
outlined in the Constitution and By-Laws. After adoption
of the Budget by the membership, no contract shall be
entered into, and no expenditure not provided for in the
budget,, shall be paid by the Treasurer unless approved
by a majority vote of the Board of Trustees present and
voting. (6/90)
SECTION 11. FEES &
REIMBURSEMENTS - The President shall be reimbursed for
his/her performance of the duties set forth in these
By-Laws in an amount not to exceed $1000.00, plus
reimbursement at the Grand Lodge formula per diem, plus
air transportation at tourist rate, for attendance at
the Grand Lodge Convention and reimbursement for actual
traveling expenses for out of state or extended travel
within our Association as directed by the Board of
Trustees and within the confines of the approved Budget.
In addition, each Vice President shall be reimbursed for
travel and office expenses incidental to the performance
of his/her duties as set forth in these By-Laws in an
amount not to exceed $500.00 per year. The Secretary and
Treasurer shall be reimbursed for travel and office
expenses incidental to the performance of their duties
as set forth in these By-Laws in an amount not to exceed
$1000.00 per year. No other officer or committeeperson
shall contract obligations or receive traveling expenses
without approval of the Board of Trustees. The President
and Vice Presidents shall submit documentation to the
satisfaction of the Board of Trustees, of their faithful
performance of the duties set forth in these By-Laws
before they receive any reimbursement. (6/92)
