ARTICLE XI
AMENDMENTS

SECTION 1. Delegates may not submit an amendment without having presented with it written approval of his/her Subordinate Lodge, which must be received by the Secretary of the Association at least thirty days prior to the Fall Conference, January, April or Annual Convention Meeting. Each proposal must clearly state the reason for the proposal. The State Secretary will immediately refer the proposal to the By-Laws Committee.

SECTION 2. The By-Laws Committee will give prompt consideration to the proposal, preparing a written report and forwarding both to the Chairperson of the Advisory Committee for approval. They, in turn, will supply a written report of their action and forward all to the State Association Secretary.

(a) The Association Secretary will then immediately mail to each member Lodge of this Association a copy of the proposal, the reasons for it, along with a summary of the reports of the By-Laws and Advisory Committees.
(b) The proposal may be considered under “New Business” at any Regular, Special or Convention Meeting of this Association. If an amendment is to be offered to such proposal, it MUST be in writing, accompanied by written approval of his/her Subordinate Lodge, and have been received by the Secretary of the Association fourteen days or more prior to the meeting at which the proposal comes before the Association for voting.
(c) A two-thirds vote of the accredited Delegates (on record with the Association Secretary) present shall be required to adopt any proposal. Any Lodge desiring to use an officially named Alternate Delegate must notify the Association Secretary in writing prior to the starting time of the meeting at which the voting will take place. Such notification must be signed by the Exalted Ruler, the Lodge Secretary or both.
(d) Upon adoption of the proposal, it shall be mailed immediately by the Association Secretary to each member Lodge for ratifying approval. Lodges giving a negative vote MUST immediately notify the Association Secretary in writing, of that negative vote, and the reasons for the opposition, along with the date of the regular Lodge Meeting at which the vote was taken. Unless a majority of the member Lodges shall have recorded opposition with the Association Secretary on or before the next Meeting of the Association, the proposal will become automatically ratified, subject to approval by the Grand Lodge.
